it honestly depends on what your needs are.

First and foremost to answer the easiest part on that, you are partly right in saying that the “AF-S” defines it as compatable with the Nikon D40. Truth be told, you can use most any lens on the Nikon D40. But only AF-S lenses will auto-focus (or any lens that has an auto-focus lens built into it and designed for Nikon). The other lenses, generally AF lenses, will require you to manually focus them. D40 will give you a hand with that though.

On to the rest of your question, this honestly depends on what other lenses you have. If you have an 18-55, the 55-200 simply continues on from where your other lens leaves off, actually being slightly brighter at that 55mm point. But because it is not a VR lens, you do need a little more light to get a steadier shot by having a faster shutter speed. you can “cheat” on this by either getting yourself a tripod or getting an SB-800 flash to light things up.

The 70-300mm lens actually requires the same amount, if not actually a little more light. This is why they included the VR function into it, so that it could end up using a slightly slower shutter speed than the normal 70-300 D lens required. That said, you don’t want to go too too much slower, you will still get some slightly blurred shots even with the VR function running. And the VR does eat away at your battery life when it is operational. It also does not continue on where your original kit lens left off, so you are left with a gap in your shooting range (something I personally try to avoid).

I would say keep your 55-200, or if you can find a VR edition of it grab that as it is only a little bit more expensive than the one you have. Beyond that, they’re both excellent lenses.
